By engaging Luma16's services, clients agree to these Terms and Conditions.
2. Services
Services provided by Luma16 are governed by the applicable proposal, statement of work (SOW), service agreement, purchase order, or other written agreement between Luma16 and the client.
Deliverables, timelines, fees, and service scope will be defined in the applicable agreement.
3. Pricing and Payments
Fees for services are outlined in the applicable agreement between Luma16 and the client.
Invoices are payable according to the payment terms stated on the invoice or in the applicable agreement.
Late payments may be subject to suspension of services until outstanding balances are resolved.
Clients are responsible for any applicable taxes unless otherwise stated.
4. Refund Policy
Because Luma16 primarily provides professional and consulting services, refunds are generally not available for services that have already been delivered.
If a client believes a billing error has occurred, the client should contact Luma16 within thirty (30) days of the invoice date.
Refund requests will be reviewed on a case-by-case basis and subject to the terms of the applicable client agreement.
5. Cancellation Policy
Either party may terminate services in accordance with the applicable agreement.
Clients remain responsible for payment of all services rendered and expenses incurred up to the effective date of termination.
6. Intellectual Property
Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property.
Ownership of work products, deliverables, and other materials created during an engagement shall be governed by the applicable client agreement.
7. Limitation of Liability
To the maximum extent permitted by law, Luma16 shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of its services.
Luma16's aggregate liability relating to any engagement shall not exceed the amount paid by the client for the specific services giving rise to the claim.
8. Privacy
Luma16 respects the privacy of its clients, candidates, employees, and website visitors.
Information provided to Luma16 is used solely for legitimate business purposes, including service delivery, recruiting activities, client communications, and legal or regulatory compliance.
Luma16 does not sell personal information to third parties.
9. Confidentiality
Luma16 treats confidential client information with appropriate care and expects clients to similarly protect confidential information shared by Luma16.
Additional confidentiality obligations may be established under separate agreements.
